standard Delivery Conditions

For Advisory Services of Westcube Management 

The following standard delivery conditions apply to all advisory and solution services provided by Westcube Management to the client, unless otherwise agreed in writing. 

1. Westcube Management will perform the services with reasonable care and skill, in accordance with the terms of the engagement letter and the applicable professional standards.

2. Westcube Management will deliver the services within the agreed time frame, subject to any delays or changes caused by the client, force majeure events, or other circumstances beyond Westcube Management’s reasonable control.

3. Westcube Management will assign qualified personnel to perform the services, and may replace or reassign them at its discretion, provided that the quality and timeliness of the services are not adversely affected.

4. Westcube Management will retain the ownership and intellectual property rights of all materials, methods, tools, and data used or developed by Westcube Management in connection with the services, unless otherwise agreed in writing.

5. Westcube Management will treat as confidential any information provided by the client or obtained by Westcube Management in the course of the services, and will not disclose it to any third party without the client’s prior written consent, except as required
by law or professional obligations.

6. The client will cooperate with Westcube Management and provide Westcube Management with all necessary information, access, and assistance to enable Westcube Management to perform the services effectively and efficiently.

7. The client will pay Westcube Management the fees and expenses for the services, as specified in the engagement letter, within 30 days of receiving the invoice from Westcube Management. All fees are subject to VAT.

8. The client will indemnify and hold harmless Westcube Management and its personnel from any claims, liabilities, damages, or costs arising from or relating to the client’s use or reliance on the services or the deliverables, except to the extent caused by Westcube Management’s negligence or willful misconduct.

9. Westcube Management’s liability for any losses or damages arising from or relating to the services or the deliverables, whether in contract, tort, or otherwise, will be limited to the amount of fees paid by the client for the services, and will not include any
consequential, indirect, or incidental damages.

10. Westcube Management and the client will attempt to resolve any disputes arising from or relating to the services or the deliverables amicably and in good faith, before resorting to any legal action.

11. Changes and additions to any provision in an agreement and/or the Terms and Conditions can only be agreed upon in writing.

These standard delivery conditions are governed by Dutch law.
